Terms of service
Effective 14 September 2026. These Terms replace the 18 August 2026 version.
Who you are contracting with
These Terms of Service (“Terms”) are a contract between Big Sky Little Acorn, LLC, doing business as CON Signal (“CON Signal,” “we,” “us”), and the organization that creates the account (“Customer”). The person who clicks Create account, Subscribe, or otherwise accepts these Terms represents that they have authority to bind Customer.
The service is offered to U.S. organizations for internal business use. It is not offered as a consumer product for personal or household use, and it is not directed at children.
By creating an account, paying, or using consignal.pro, Customer agrees to these Terms and to the Privacy Policy. If you do not agree, do not use the service.
The service
CON Signal aggregates publicly available Certificate of Need filings and related public records (including, where we have them, IRS Business Master File and CMS Provider of Services data) into a structured feed, with saved searches, email alerts, and CSV export.
We are an independent information service. We are not a state agency, a CON authority, a law firm, an investment adviser, or a covered entity or business associate under HIPAA. We do not provide legal, clinical, or investment advice. The official record of any filing is the issuing state’s document, which every record links to. If the feed and the state document disagree, the state document controls.
Customer is solely responsible for decisions it makes using the service, including bids, site selection, and advice to its own clients.
The feed depends on the states
CON Signal does not originate Certificate of Need filings. We read what each state (and, where we use them, federal sources) makes public. If a state site is down, slow, behind a login we do not bypass, or has stopped posting, we cannot collect from it. If a state repeals or suspends its Certificate of Need program, or otherwise stops publishing those filings, there is nothing for us to put in the feed for that state. We will not invent records a state no longer publishes.
Premium includes every state we cover. If one of those states stops publishing Certificate of Need filings, we cannot supply live filings for it, and it drops from the feed until the state resumes. Questions: write support@consignal.pro.
Best effort; interruptions
We provide the service on a best-effort basis. We do not promise uninterrupted access or a complete capture of every filing the moment it posts. The feed can break or fall behind because of, among other things:
- machine extraction and other automated processing making a wrong or incomplete read;
- mistakes by people who write, review, or operate the service;
- a change in a state’s page, PDF, portal, or file layout;
- a change in our own code, parsers, or matching;
- an outage of a state site, our hosts, or a processor we rely on.
When a state we cover is not collecting, or when we confirm an error in the feed, we will use reasonable efforts to restore collection or correct the error in a timely and reasonable manner. That effort is how we run the product. It is not an uptime warranty, a service-level agreement, or a right to a refund.
License
Subject to these Terms and timely payment, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable license, during the paid term, to:
- access the feed for every state we cover;
- view, search, filter, and export (CSV) those records;
- copy excerpts into Customer’s internal memoranda, models, and client deliverables, with attribution to CON Signal and a citation or link to the state source;
- receive email alerts Customer configures for those records.
Customer may not:
- scrape, harvest, or bulk-download the service except through the CSV export we provide;
- resell, publish, or redistribute a substantial part of the database, or use it to operate a competing CON or healthcare-project feed;
- share the login across people, or across organizations;
- use the service to harass individuals (including named state analysts, who appear only as the issuing state published them);
- submit protected health information, or any data Customer is not allowed to send us;
- use the corpus, in bulk, to train a machine-learning model;
- reverse engineer the service except as the law allows.
Facts in a state PDF remain facts. This license is how Customer may use our compilation, software, and matching. A few rows in a partner memo, with the source, is expected use. Posting the week’s feed on a public blog is not.
Account
Premium is a single seat — one named individual at Customer’s organization — and the account owner controls billing. Sharing a login across people, or across organizations, is a material breach, and we may suspend the account.
Plan
CON Signal is paid only. There is no free tier and no trial. The public sample (2018–2020) is a demo, not a plan.
There is one plan, Premium: every state we cover, one seat, and every feature. It bills monthly or annually and includes all states for as long as the subscription is active. There is no state selection and no lock.
Billing, renewal, and cancellation
Paid plans bill monthly or annually through Stripe and renew until cancelled. Annual billing is discounted from twelve months at the monthly price, as shown at checkout. Stripe Tax may add sales tax where we are registered; until a registration exists the tax line is $0. Prices are in U.S. dollars.
Checkout is where we obtain consent to these billing terms. The price, the interval, the fact of renewal, how to cancel, and tax will also be restated in the email Stripe or we send after payment.
For an annual plan, we will email the account owner at least 15 days and not more than 45 days before renewal, with the renewal term, the amount, and a link to cancel. That notice is a billing notice, not marketing.
Customer may cancel at any time from Settings, online, without a phone call. Cancellation stops renewal; access continues to the end of the period already paid, then the account returns to the demo.
We do not prorate refunds for unused days, except where the law requires it. If we materially misbill Customer, tell us at support@consignal.pro and we will correct the invoice.
If a payment fails, we may retry and we may suspend live access after notice. We do not send marketing email. Transactional mail (confirmations, receipts, payment notices, alerts you asked for) will still go to the account email.
Alerts
Alerts fire when a new published filing matches a saved search, and are sent by email. If the product lets Customer paste a Slack or webhook URL, that destination is Customer’s system; Customer is responsible for who can read it. Customer may turn alerts off in Settings. We may throttle or suspend a destination that fails repeatedly.
Data accuracy
We extract fields, including dollar figures, by machine. Low-confidence rows are queued for human review. A capital cost taken from a letter of intent is an estimate and is labelled as such. A figure we cannot fully verify against the source text is marked. Extraction can be wrong because the model missed a line, a person mis-keyed a review, or the state changed the layout of a page or PDF.
We do not warrant that any record is complete, current, or error-free. Verify against the linked state document before you act. If you find an error, use the flag control on the record. We will use reasonable efforts to investigate and, when we confirm the feed is wrong relative to the source, to correct it in a timely and reasonable manner. Flagging a record does not entitle Customer to a refund or credit.
No HIPAA business associate agreement
The service uses public regulatory filings and public bulk files. It does not use or disclose protected health information. We will not sign a HIPAA business associate agreement. Do not send us PHI.
Acceptable use and suspension
In addition to the license limits above, Customer will not use the service for unlawful purposes or to interfere with other customers. We may suspend access for nonpayment, suspected abuse, or a material breach. Except for willful scraping, illegal use, or unpaid invoices, we will try to give 15 days’ notice before deleting a paid account.
Intellectual property
The software, schema, compilation, matching, and CON Signal name are ours (or our licensors’). Public records remain public records. Feedback Customer sends may be used to improve the service without obligation. Customer retains its account data (name, company, saved searches).
Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted access, that a given state will keep publishing Certificate of Need filings, or that the feed will include every filing a state has ever posted. Our promise is the reasonable, timely effort to restore collection and to fix confirmed errors, as described above.
Indemnity
Customer will defend and indemnify CON Signal against claims arising from Customer’s misuse of the service, Customer’s violation of these Terms, or content Customer submits.
We will defend and indemnify Customer against a third-party claim that the software, as we provide it, infringes a U.S. patent, copyright, or trademark, excluding claims based on a combination with items we did not supply, or on Customer’s data. If such a claim proceeds, we may procure a license, modify the service, or refund prepaid fees for the unused portion and end the account. That is Customer’s exclusive remedy for infringement.
Limitation of liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE IS LIMITED TO THE FEES CUSTOMER PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM. The cap does not apply to Customer’s payment obligations, to either party’s indemnity for IP infringement or misuse, or to liability that the law does not allow to be limited.
Term and termination
These Terms last for the paid term and any demo access after it. Sections that by their nature should survive (license restrictions, fees, indemnity, liability, privacy, and governing law) survive cancellation. Account deletion follows the Privacy Policy.
Changes
We may update these Terms. The effective date at the top will change. Continued use after that date is acceptance. Material changes to price or the license will be emailed to the account owner at least 30 days in advance and will apply at the next renewal unless Customer cancels.
Assignment, force majeure, export
Customer may assign these Terms to a successor in a merger with notice. We may assign them to an affiliate or to a buyer of the business. Neither party is liable for delay caused by events beyond its reasonable control, including an upstream state site going dark or a change in law that ends a Certificate of Need program. That does not excuse us from using reasonable efforts to restore collection when the source is available again. Customer will not use the service in violation of U.S. export or sanctions law.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue is the state or federal courts located in Travis County, Texas, and each party consents to that venue. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Entire agreement
These Terms and the Privacy Policy are the entire agreement for the self-serve service. A written sales order or MSA controls if it says it does. If a court strikes one sentence, the rest still applies.
